ProAmpac Completes Acquisition of TC Transcontinental Packaging
Cincinnati-based ProAmpac has finalized its acquisition of TC Transcontinental Packaging, a significant move in the North American flexible packaging sector. The deal, valued at $2.1 billion, allows TC Transcontinental to redirect its focus towards its Retail Services & Printing and Educational Publishing divisions, as stated by executive chair Isabelle Marcoux.
Following the acquisition, TC Transcontinental plans to distribute approximately $20 per share to its shareholders, which includes a reduction of stated capital and a cash dividend, with further details expected on March 10 after the release of its first-quarter earnings for fiscal year 2026.
This acquisition marks a pivotal milestone in ProAmpac’s growth strategy, which has been characterized by a series of acquisitions since it was acquired by Pritzker Private Capital in 2016. The company has expanded its portfolio significantly, including recent acquisitions of International Paper’s bag converting operations and e-commerce packaging specialist PAC Worldwide.
ProAmpac aims to leverage TC Transcontinental’s global manufacturing scale and advanced coatings capabilities to enhance its product offerings. The integration is expected to accelerate the development of next-generation packaging solutions, focusing on sustainability with innovations such as barrier films, mono-material structures, and fiber-based formats.
With 80 manufacturing sites and a workforce of 11,000, ProAmpac is positioned to become a leading provider of high-performance, sustainable packaging solutions globally. TC Transcontinental, with 25 production plants and 3,500 employees, reported annualized revenues of approximately $1.6 billion prior to the acquisition.
